Image Rights Terms — Singift UGC Program

1. Preamble

This document defines the conditions under which you, a customer who has placed an order on mysingift.com (hereinafter "the Customer"), grant Singift (hereinafter "Singift") a right to use the video you voluntarily submit as part of the UGC ("User Generated Content") program offered in exchange for submitting a video.

By checking the box "I agree that Singift may use my video for its communications" on the submission form available at mysingift.com/share-your-video, you acknowledge that you have read, understood, and accepted these terms in their entirety.

2. Identification de Singift

Trade name: Singift, a brand operated by Raw Agency SNC, registered under number CHE-496.809.967 in the Commercial Register of the Canton of Vaud (Switzerland), with its registered office located at Route Aloys-Fauquez 132, 1018 Lausanne, Switzerland. 3. UGC Program Purpose

Singift offers its customers who have received their personalized song the opportunity to submit a video capturing the reaction of the song's recipient. In exchange, Singift offers the Customer one free standard custom Singift song (in the form of a discount code) (without paid add-ons), delivered by email within 5 to 7 business days from the receipt of the video.

4. Scope of Rights Granted

By submitting your video and checking the consent box, you grant Singift, on a non-exclusive basis, the right to use, reproduce, adapt, modify, distribute, and publish the video, in whole or in part, under the following conditions:

4.1 Authorized Media

Organic social media: Instagram, TikTok, Facebook, YouTube, X (Twitter), LinkedIn, Pinterest, Snapchat, and any other existing or future social network where Singift is or will be present;
Paid advertising campaigns: Meta Ads (Facebook + Instagram), TikTok Ads, Google Ads, YouTube Ads, Pinterest Ads, and any other advertising platform;
Website mysingift.com and all its subdomains;
Marketing emails and newsletters sent to Singift's customers and prospects;
Commercial presentations and B2B communication materials (press relations, partnerships, etc.).

4.2 Authorized Modifications

You authorize Singift to make the following modifications to the video, for the purpose of adapting it to distribution media:

Cropping and resizing (square, vertical, horizontal formats);
Cuts, editing, and shortening of duration;
Addition of subtitles, on-screen text, logos, additional music;
Brightness, contrast, color adjustments;
Combination with other videos or content.

4.3 Territory

The rights are granted for worldwide use, without geographical restriction.

4.4 Duration

The rights are granted for a duration of 3 years from the date the video is submitted, automatically renewable for successive periods of 3 years, unless terminated by either party under the conditions defined in section 6.

5. Customer Warranties

By submitting your video, you warrant to Singift that:

You are the author of the video, or in any case you have all necessary rights to transmit it to Singift;
Any identifiable person appearing in the video (notably the recipient of the song) has given their informed consent for the use of their image under the conditions provided in this document. If the filmed person is a minor, you warrant that you have obtained the written consent of their legal guardians;
The video does not contain any illegal, defamatory, insulting, racist, sexist, discriminatory, pornographic, violent, or immoral content;
The video does not infringe upon any third-party rights (copyright, neighboring rights, image rights, privacy rights, trademarks).

In case of breach of these warranties, you undertake to indemnify Singift and to bear the full consequences (financial, judicial, media-related) resulting from any third-party claim.

6. Withdrawal of Consent

You may at any time request the removal of your video from Singift's communication channels by sending a written request to contact@mysingift.com, specifying:

Your last name, first name, and order email;
The order number associated with your video (if known);
Your explicit request for removal.

Singift commits to:

Acknowledging receipt of your request within 5 business days;
Removing your video from all its communication channels (organic social media, website, emails) within 30 days of receiving your request.

Exception regarding active advertising campaigns: advertising campaigns already scheduled and financially committed at the time of your request may continue running until their contractual end date, which shall not exceed 60 days after the receipt of your withdrawal request. Beyond this period, your video will be removed from any new campaign.

Withdrawal of consent has no retroactive effect and does not entitle you to any refund or additional compensation beyond the custom song already offered as compensation for the initial submission.

7. Compensation

The grant of rights under these terms is provided free of charge and exclusively in exchange for the standard Singift custom song offered by Singift to the Customer (in the form of discount code, not including extra paid add-ons).

The Customer shall not be entitled to any other compensation, royalty, or remuneration, regardless of the use made of the video, the commercial success resulting from it, or the advertising revenues that may be generated.

8. Personal Data and GDPR Compliance

As part of the UGC program, Singift collects and processes the following personal data:

Your last name, first name, and email address;
Your Shopify order number;
The IP address used at the time of consent;
The date and time of consent;
The video file you submit;
The image and voice of people appearing in the video.

Processing purposes:

Execution of the UGC program (sending the free song);
Use of the video as defined in section 4;
Preservation of proof of consent (legal obligation);
Fraud prevention (verification of customer identity).

Legal basis: your explicit consent (Article 6.1.a of GDPR) for the use of the video, and contractual execution (Article 6.1.b of GDPR) for processing order information.

Retention period:

Consent data (IP, date) is retained for the entire duration of the rights grant (5 years renewable) + 5 additional years for evidentiary purposes;
The video is retained for the entire duration of the rights grant;
In case of withdrawal of consent, the data and the video are deleted within 30 days following the request, except in cases of legal obligation to retain.

Your GDPR rights: you have the right to access, rectify, erase, restrict, port, and object to the processing of your personal data. To exercise these rights, contact us at contact@mysingift.com.

You also have the right to lodge a complaint with the competent supervisory authority (CNIL in France, APD in Belgium, CNPD in Luxembourg, FDPIC in Switzerland, or your local data protection authority for non-EU customers).

9. Disputes and Applicable Law

This document is governed by Swiss law.

In case of dispute relating to the interpretation or execution of these terms, the parties shall endeavor to find an amicable solution. Failing that, the competent courts of the Canton of Vaud (Lausanne, Switzerland) shall have exclusive jurisdiction.

For customers residing in the European Union, in accordance with regulations, you may also use the European online dispute resolution platform available at: https://ec.europa.eu/consumers/odr/.

For customers residing in the United States, any dispute shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Modification of Terms

Singift reserves the right to modify these terms at any time. Modifications shall apply only to videos submitted after the publication of the new version. The version applicable to your video is the one that was online at the time of your consent.
